You Will Have a Broad Set of Responsibilities
Five Elms Capital is seeking an Associate General Counsel / Legal Counsel to support legal matters relating to platform investments and portfolio management activities. This role is focused exclusively on investment transactions and portfolio company matters.
The individual will partner closely with the General Counsel and the investment team to support execution of new investments, follow-on transactions, minority and secondary purchases, and portfolio exits, while serving as a key legal resource throughout the hold period. This role requires strong transactional experience, practical judgment, and the ability to operate efficiently in a fast-paced growth equity environment.
Investment Transaction Execution
- Support General Counsel in legal workstreams for platform investment transactions, including majority and minority growth equity investments, new buy-outs, recapitalizations, and secondary purchases.
- Supervise external counsel to prepare, review, and negotiate key transaction documentation, including purchase and subscription agreements, shareholder and investor rights agreements, operating agreements, disclosure schedules, and ancillary and closing documents.
- Coordinate closely with external counsel and the Five Elms deal team to ensure timely and efficient transaction execution and post-closing matters.
- Support due diligence processes by identifying legal risks and structuring considerations, reviewing diligence reports, and managing legal diligence trackers.
Portfolio Management & Transaction Support
- Coordinate with the investment team and external counsel on portfolio company matters during the hold period.
- Provide guidance on a wide range of portfolio legal issues, including corporate governance and board matters, M&A, equity issuances and restructurings.
- Assist in developing best practices and standardized approaches for transaction structuring, deal execution and portfolio company matters.
Is Five Elms Right for You?
- J.D. from an accredited law school and admission to practice in at least one U.S. jurisdiction.
- Relevant experience at a leading law firm and/or in-house at a private equity, growth equity, or investment platform.
- Strong experience in M&A, private equity, or growth equity transactions.
- Familiarity with portfolio company governance and lifecycle issues.
- Experience managing external counsel and multiple concurrent transactions.
